WHAT HAPPENED

What happened

Cable One's October 12 update disclosed a temporary restraining order entered October 9 preventing its acquisition of the remaining 55% of Mega Broadband Investments. Lender CoBank challenged the proposed payment; Cable One disputes the claims.

The company said proposed financing would address $2.45 billion of obligations and near-term maturities, while cautioning that definitive financing agreements had not then been signed. On October 13, the court directed the parties to propose a briefing schedule and hearing date for the dispute and Cable One's motion to dissolve the restraint.

PREMIA VIEW · ANALYSIS

Premia view: diligence the path to closing as carefully as the asset

For smaller buyers and sellers, closing certainty depends on more than price. Existing debt agreements, investor put rights, lender approvals and maturity dates can interact in ways that narrow the available choices.

Build a single schedule connecting purchase obligations to funding commitments and legal conditions. A seller considering contingent consideration or a prolonged closing should also assess how much liquidity the buyer retains if its financing changes.

WHAT REMAINS UNCERTAIN

The reviewed sources do not establish a final resolution of the restraint or completed refinancing. CoBank's allegations are disputed, not established findings. Final financing terms and transaction timing remain open.
